GENERAL TERMS AND CONDITIONS OF USE AND SALE (B2B)
1. Introduction
These General Terms and Conditions (“Terms”) govern the access and use of AGRINOR SRL’s website and regulate B2B sales of food products intended exclusively for professional operators (companies, retailers, GDO, HoReCa). By accessing the site or placing an order, the user accepts these terms.
3. Use of the Website
3.1 Access is restricted to professional users only.
3.2 The Customer may not use the website for fraudulent or unlawful activities.
3.3 AGRINOR SRL may suspend access in case of violations or misuse.
4. Registration and Account
4.1 The Customer must register with accurate and updated data.
4.2 The Customer is responsible for safeguarding login credentials.
4.3 AGRINOR SRL may reject registrations not compliant with B2B requirements.
5. Products and Information
5.1 Product descriptions are provided in good faith.
5.2 Variable‑weight products may differ naturally.
5.3 Images are indicative only.
6. Prices
6.1 Prices are expressed in euros, excluding VAT.
6.2 Prices may be updated at any time and are binding only upon Order Confirmation.
6.3 Promotions are valid until their stated expiration.
7. Orders and Contract Formation
7.1 The Order is an irrevocable proposal for 7 days.
7.2 The contract is concluded upon Order Confirmation by AGRINOR SRL.
7.3 The Seller may reject incomplete or inconsistent orders.
8. Payments
8.1 Accepted payment methods are defined during checkout or agreed in writing.
8.2 Late payments accrue interest under Legislative Decree 231/2002.
8.3 AGRINOR SRL may suspend supplies in case of unpaid invoices.
9. Delivery and Transport
9.1 Default delivery term: EXW (Incoterms® 2020).
9.2 Risk passes to the Customer upon handover to the carrier.
9.3 Delivery times are indicative.
9.4 The Customer must inspect goods upon delivery and report issues within 24 hours.
10. Non‑Conformities and Claims
10.1 Valid claims must include photos and lot references.
10.2 Claims are invalid after the defined timeframe or in case of improper storage.
11. Storage Responsibilities
11.1 The Customer must store Products in compliance with HACCP standards.
11.2 The Supplier is not responsible for damages due to improper storage.
12. Liability
12.1 AGRINOR SRL is not liable for indirect or consequential damages.
12.2 Total liability is limited to the value of the disputed supply.
13. Intellectual Property
13.1 The AGRINOR SRL trademark and website content may not be reproduced without authorization.
14. Data Protection (GDPR)
Data is processed in accordance with EU Regulation 679/2016.

15. Force Majeure
No liability applies in case of events preventing or delaying performance, such as natural disasters, strikes, epidemics, blackouts, or government acts.
16. Governing Law and Jurisdiction
